Acceptance of terms

These Terms & Conditions ("Terms") govern the relationship between Skontech ("Company," "we," "us," or "our") and any individual or business entity ("Client," "you," or "your") that accesses our website at skontech.io or engages us for any development, design, or technology services.

By submitting an inquiry, signing a proposal, making a payment, or otherwise commencing a project with Skontech, you agree to these Terms in full. If you do not agree, please refrain from using our website or engaging our services.

ⓘ These Terms apply to all clients regardless of location. Where specific local laws impose additional requirements, we will address those on a case-by-case basis in your project agreement.

Services offered

Skontech is an AI-first software development company established in 2017, offering a broad range of technology services including but not limited to:

Artificial intelligence
Generative AI, AI agents, enterprise chatbots, MLOps, voice AI, and AI automation
Web development
Custom web applications using React, Node.js, Laravel, Python, WordPress, and more
Mobile solutions
Native and cross-platform apps for iOS and Android using Flutter, React Native, Swift, and Kotlin
Cloud engineering
Infrastructure, DevOps, and deployment using AWS, Azure, Google Cloud, Docker, and Kubernetes

The specific scope of services for any engagement will be defined in a separate proposal, statement of work, or project agreement signed by both parties.

Engagement & project scope

All projects begin with a requirement-gathering phase. The agreed scope of work, timeline, and deliverables will be documented in a written proposal or contract. Any changes to the agreed scope after project commencement — including additional features, design revisions, or functional changes — may result in revised timelines and additional costs.

Skontech offers three partnership models to suit different client needs:

  • Fixed price model — Defined scope, cost, and timeline agreed upon before development begins. Best for clients with a clear and complete vision of requirements
  • Hire dedicated model — Clients pay for hours worked, with flexibility to adjust features and specifications throughout the project
  • On-site development model — Preferred when clients require temporary on-site resources for face-to-face collaboration and time-sensitive delivery

The minimum project engagement value accepted by Skontech is $5,000 USD.

Payments & pricing

Payment terms will be specified in the project proposal or contract. General conditions include:

  • An initial deposit (typically 30–50% of the total project value) is required before work commences
  • Milestone-based payments may apply for larger engagements, as outlined in the project agreement
  • Final payment is due prior to delivery of the final product or handover of source code
  • All quoted prices are in USD unless otherwise stated
  • Invoices are payable within the timeframe specified on the invoice, typically 7–14 business days
  • Late payments may result in suspension of work until outstanding balances are settled
Refund eligibility is determined by the stage of project completion and the terms outlined in the individual project agreement. Generally, deposits are non-refundable once development work has commenced.

Intellectual property

Upon receipt of full and final payment, the Client receives full ownership of all custom code, designs, and deliverables created specifically for their project. This includes source code, UI/UX designs, and associated documentation.

The following are explicitly excluded from this transfer of ownership:

  • Third-party libraries, frameworks, and open-source components used in development (governed by their respective licenses)
  • Skontech's proprietary tools, boilerplates, and internal methodologies developed prior to or independently of the project
  • Any licensed assets, fonts, or stock media incorporated into the project (subject to their own license terms)

Skontech reserves the right to reference completed projects in our portfolio and marketing materials unless explicitly restricted by a signed NDA or separate written agreement.

Confidentiality & NDA

Skontech takes client confidentiality seriously. We are prepared to sign a Non-Disclosure Agreement (NDA) prior to any project engagement upon client request. The NDA will govern the protection of proprietary business information, trade secrets, and any sensitive data shared during the project.

Even without a formal NDA, our team adheres to strict internal confidentiality policies. We do not disclose client project details, business logic, data, or technical specifications to any third party without explicit written consent.

Our team members are bound by internal confidentiality obligations throughout their employment and beyond. Client data is handled in accordance with our Privacy Policy.

Client responsibilities

A successful project requires active collaboration. By engaging Skontech, the Client agrees to:

  • Provide clear, timely, and accurate project requirements and feedback
  • Designate a primary point of contact who has authority to approve decisions
  • Supply all necessary content, assets, credentials, and third-party access required for the project in a timely manner
  • Review and respond to deliverables, prototypes, or milestones within agreed timeframes
  • Make payments on schedule as per the agreed payment plan
  • Ensure that any materials provided to Skontech do not infringe upon any third-party intellectual property rights

Delays caused by the Client's failure to meet the above responsibilities may affect project timelines and are not the responsibility of Skontech.

Warranties & quality assurance

Skontech is committed to delivering high-quality, bug-free software. Our development process includes a dedicated quality assurance phase with both manual and automated testing prior to delivery.

Following delivery, Skontech provides a warranty period as defined in the project agreement (typically 30–60 days) during which we will resolve defects or bugs that arise from our implementation at no additional cost. This warranty does not cover:

  • Issues arising from changes made by the Client or third parties after delivery
  • Compatibility issues caused by third-party platform updates outside of Skontech's control
  • New features or enhancements requested after the warranty period
  • Infrastructure or hosting issues unrelated to our code

Post-warranty support and maintenance are available under a separate support agreement.

Limitation of liability

To the maximum extent permitted by applicable law, Skontech's total liability to the Client for any claims arising out of or related to these Terms or any project engagement shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

Skontech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business, or reputational harm, even if advised of the possibility of such damages.

⚠ Skontech provides services on an "as-is" and "as-available" basis. We make no guarantees regarding the uninterrupted availability of our website or that any particular business outcome will be achieved through our services.

Termination

Either party may terminate a project engagement by providing written notice as specified in the project agreement. Upon termination:

  • The Client is responsible for payment of all work completed up to the date of termination
  • Skontech will deliver all completed work and assets to the Client upon receipt of final payment for work performed
  • Any deposits or milestone payments made for work not yet commenced may be subject to refund at Skontech's discretion
  • Confidentiality obligations survive termination and remain in effect indefinitely

Skontech reserves the right to suspend or terminate services immediately in cases of non-payment, abusive conduct toward our team, or requests to perform unlawful activities.

Governing law

These Terms shall be governed by and construed in accordance with applicable laws. As Skontech operates internationally and serves clients globally, including a significant presence in the United States, any disputes arising from these Terms or a project engagement will be resolved through good-faith negotiation in the first instance.

If a dispute cannot be resolved amicably, the parties agree to submit to binding arbitration or the jurisdiction of a mutually agreed court, as specified in the individual project agreement. Where no jurisdiction is specified, the laws of the State of California, USA shall apply as a default given our US business operations.

Changes to these terms

Skontech reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to this page with a revised "last updated" date. We encourage clients and visitors to review this page periodically.

For active project engagements, material changes to these Terms will be communicated directly to the Client. Continued use of our services following any update constitutes acceptance of the revised Terms.
